This Agreement governs your participation as an independent sales agent in the OrderBot referral programme operated by Azmahpoint Nigeria Limited (CAC RC: 8737386). By activating your Agent Portal account, you accept this Agreement in full.
1. Your Role
You are appointed as a non-exclusive, independent contractor — not an employee, partner, or representative of Azmahpoint. You have no authority to enter contracts or make commitments on behalf of the Company.
2. Your Obligations
- Submit leads accurately and completely through the Agent Portal
- Represent the Platform truthfully using only official materials
- Obtain consent from prospective vendors before submitting their details
- Comply with all applicable Nigerian laws
- Keep all Company information confidential
- Not use deceptive, misleading, or high-pressure sales tactics
3. Commission Structure

Commissions are earned on the vendor's first 3 subscription payments only. No commission is paid from the 4th payment onwards. Rates may be revised with 30 days' notice.
4. Payout
Commissions are compiled monthly and paid within 10 business days of admin approval, by bank transfer to your registered account. Minimum payout threshold: ₦5,000. You are responsible for all applicable taxes on commission income.
5. Termination
Either party may terminate with 30 days' written notice. The Company may terminate immediately for fraud, misrepresentation, or breach of confidentiality. Commissions already earned are settled within 30 days of termination.
6. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes are resolved by binding arbitration in Lagos, Nigeria.
